Agreement Overview
These Terms of Service ("Terms") constitute a legal agreement between you ("Customer," "you," or "your") and VSIP Technologies, Inc. ("VSIP," "we," "us," or "our") regarding your use of the VSIP Platform, including all associated services, APIs, integrations, and documentation.
By accessing or using the VSIP Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into this agreement on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Service Description
The VSIP Platform is a Voice Systems Integration Platform Framework that enables real-time integration between call systems and various platforms including healthcare EMRs, business CRMs, and communication systems.

Webhook Processing
Real-time webhook ingestion, processing, and delivery with enterprise-grade reliability and security.
Platform Integrations
Pre-built connectors for 200+ platforms including Salesforce, Epic, HubSpot, and major VoIP systems.
Workflow Automation
Intelligent workflow builder with AI-powered field mapping and automated data synchronization.
Monitoring & Analytics
Real-time system monitoring, performance analytics, and comprehensive audit logging.
Acceptable Use Policy
Permitted Uses
- • Healthcare communication and EMR integration for legitimate medical practices
- • Business CRM integration for sales, marketing, and customer service activities
- • Call center operations and customer communication management
- • Data synchronization between authorized business platforms
- • Compliance monitoring and audit trail maintenance
Prohibited Activities
- • Unauthorized access to patient health information or personal data
- • Spam, robocalling, or unsolicited marketing communications
- • Attempting to reverse engineer, decompile, or hack the platform
- • Sharing access credentials or violating security protocols
- • Using the service for illegal activities or regulatory violations
- • Overloading systems or attempting denial-of-service attacks
Data Protection & HIPAA Compliance
HIPAA Business Associate Agreement
For healthcare organizations handling Protected Health Information (PHI), VSIP serves as a Business Associate under HIPAA. A separate Business Associate Agreement (BAA) is required and available upon request.

Payment Terms & Billing
Billing Terms
- • Payment is due within 30 days of invoice date
- • Automatic billing available with credit card or ACH
- • Usage-based charges calculated monthly
- • Late payment fees apply after 30-day grace period
- • Service suspension after 60 days of non-payment
Refund Policy
We offer a 30-day money-back guarantee for new customers. Enterprise customers may negotiate custom refund terms. Refunds are prorated based on actual usage.
Service Level Agreement (SLA)
Service Credits
If we fail to meet our uptime SLA, you may be eligible for service credits:
- • 99.0% - 99.9% uptime: 10% service credit
- • 95.0% - 99.0% uptime: 25% service credit
- • Below 95.0% uptime: 50% service credit
Limitation of Liability
IMPORTANT: Please read this section carefully as it limits our liability and affects your legal rights.
Liability Limitations
- • Total liability limited to amounts paid in the 12 months preceding the claim
- • No liability for indirect, incidental, or consequential damages
- • Healthcare organizations maintain primary responsibility for PHI protection
- • Force majeure events excluded from liability
Indemnification
You agree to indemnify VSIP against claims arising from your misuse of the platform, violation of these terms, or breach of applicable laws and regulations.
Termination
Termination Rights
By Customer
- • 30-day notice for monthly plans
- • End of term for annual plans
- • Immediate termination for cause
- • Data export assistance provided
By VSIP
- • 30-day notice for convenience
- • Immediate for material breach
- • Non-payment after grace period
- • Violation of acceptable use policy
Data Retention Post-Termination
- • 90-day grace period for data retrieval
- • Secure deletion after retention period
- • Legal holds may extend retention as required
- • Backup deletion within 180 days

Governing Law & Disputes
These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict of law principles. Any disputes will be resolved through binding arbitration in Boston, MA, except for injunctive relief which may be sought in appropriate courts.
